  • Review and provide feedback on deliverables promptly

  • Ensure they have the necessary rights to materials provided to Ember

  • Communicate any changes or requirements that may affect the project

Delays in providing information, approvals, or materials may affect project timelines.

3. Fees and Payment

All project fees and payment schedules will be agreed upon before work begins.

Unless otherwise agreed in writing, invoices must be paid according to the payment terms provided by Ember.

Additional work outside the agreed project scope may result in additional charges.

4. Project Scope

Each project is based on the agreed scope of work.

Requests that fall outside the original scope may require a revised estimate, additional fees, or an updated timeline.

Ember will communicate any significant changes to scope before proceeding with additional work.

5. Revisions and Approvals

The number of revisions included in a project will depend on the agreed scope.

Once a deliverable has been approved by the client, additional changes may be treated as new work and may incur additional fees.

Clients are responsible for reviewing final deliverables before approval.

6. Intellectual Property

Unless otherwise agreed in writing, Ember retains ownership of its pre-existing tools, processes, frameworks, templates, concepts, and internal resources used during a project.

Upon full payment, the client receives the agreed rights to the final deliverables created specifically for their project.

Third-party assets, fonts, software, stock materials, and other licensed resources remain subject to their respective licenses.

7. Marketing Results

Ember uses professional strategies and industry best practices to improve marketing performance. However, we do not guarantee specific business outcomes, revenue, rankings, lead volumes, advertising performance, or conversion rates.

Marketing performance can be affected by factors outside our control, including market conditions, competition, platform changes, budgets, and customer behavior.

8. Advertising Platforms

When managing advertising campaigns, Ember may work with third-party platforms such as Google, Meta, LinkedIn, TikTok, and other advertising networks.

Platform policies, algorithms, pricing, availability, and performance can change without notice. Ember is not responsible for changes or interruptions caused by third-party platforms.

9. Confidentiality

Both parties agree to keep confidential information received during a project private and to use it only for purposes related to the engagement.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Third-Party Services

Some projects may require the use of third-party software, platforms, hosting providers, analytics tools, advertising platforms, or other services.

Clients may be responsible for third-party subscription costs and must comply with the terms and policies of those providers.

11. Cancellation and Termination

Either party may request to end an engagement subject to the terms agreed upon for the specific project.

Fees for work already completed or expenses already incurred may remain payable following cancellation.

Ember may suspend or terminate services if payments are overdue, required information is not provided, or the client materially breaches these terms.

12. Limitation of Liability

To the fullest extent permitted by law, Ember will not be liable for indirect, incidental, consequential, or business-related losses arising from the use of our services.

Our total liability relating to a project will not exceed the amount paid to Ember for the specific services giving rise to the claim, except where otherwise required by law.

13. Website Use

You agree not to misuse our website, attempt to gain unauthorized access to its systems, interfere with its operation, or use its content for unlawful purposes.

All website content, including text, graphics, branding, and original materials, belongs to Ember or its respective owners unless otherwise stated.

14. Changes to These Terms
